In accordance with the Listing Rules, the Board has determined that five of
the seven directors are independent as defined in the NZX Listing Rules.
Independent Directors:
- Neil Craig
- David Cullwick
- Sarah Ottrey
- Maurice Prendergast
- Luke Bunt
Not Independent Directors because of disqualifying relationships:
- Alan Bougen - a shareholder in Comvita with 9.03% of the shares
- Ed Quilty - CEO of Derma Sciences, Inc. who own 6.98% of the shares and has
commercial agreements with Comvita.
