Following the 2012 Annual Meeting of Shareholders the Board of Directors of
Comvita Limited has determined that the following Directors are Independent
Directors per Listing Rule 3.3.2:

- Neil Craig - Chairman;
- Robert Tait - Chair Audit and Risk Committee;
- David Cullwick - Chair Remuneration;
- Maurice Prendergast

The following Directors are not independent due to disqualifying
relationships as defined in the Listing Rules:
- Alan Bougen - Chair Marketing Committee
