RETIREMENT OF DIRECTOR

Downer EDI Limited (Downer) announced today that Lucio Di Bartolomeo will
retire as a director of the company following the Annual General Meeting on 7
November 2012.

Mr Di Bartolomeo's retirement continues the process of Board renewal and
follows the appointment of three new directors during the past year.

The Chairman of Downer, Mike Harding, said Mr Di Bartolomeo had been a
valuable member of the Board for the past six years.

"Lucio has made an outstanding contribution to the company as Chairman of the
Remuneration Committee and has been integral to driving Downer's sound
governance culture. He has also provided strong and consistent leadership and
advice as a key member of the Board. On behalf of the Board, I thank Lucio
