DIRECTOR: FBU: Sir Ralph Norris appointed Chairman of Fletcher Building

Auckland, 19 August 2014 - The Chairman of Fletcher Building Limited
("Fletcher Building"), Mr Ralph Waters today confirmed his retirement from
the board of Fletcher Building. His retirement on 21 October 2014 following
the annual shareholders' meeting will complete a 13 year involvement with the
company. He will be succeeded as Chairman by Sir Ralph Norris who is an
independent non-executive director of the company.

Mr Waters joined Fletcher Building in 2001 as chief executive officer and
served in that role until 2006. Mr Waters remained on the board of the
company as a non-executive director, and took over as Chairman in March 2010.

Sir Ralph Norris retired as managing director and chief executive officer of
the Commonwealth Bank of Australia in November 2011 following a 40 year
career in the banking sector in Australia and New Zealand, including as chief
executive officer of ASB Bank. He is a former chief executive officer of Air
    New Zealand.

Sir Ralph is a director of Fonterra Cooperative Group and Origin Energy and a
former director of the Business Council of Australia, and former chairman of
the International Monetary Conference, Sovereign Insurance, the NZ Bankers'
Association, NZ Business Roundtable and the Australian Bankers' Association.
He is a member of the NZ Olympic Advisory Committee and the Juvenile Diabetes
    Research Foundation Advisory Board.

Mr Waters welcomed Sir Ralph's appointment as chairman.

"Sir Ralph had led large organisations in both New Zealand and Australia, and
his extensive experience will be of great benefit to Fletcher Building which
has substantial operations in both countries", Mr Waters said.

Commenting on his appointment as Chairman, Sir Ralph said he was very pleased
    to accept the role.

"Fletcher Building has a proud history that dates back over a century, and it
will be a privilege to chair the company over the next period of its growth
    and development.

"I'd also like to pay tribute to Ralph Waters and the involvement he has had
with Fletcher Building since 2001, firstly as chief executive, and subsequent
to that as a non-executive director and then chairman of the company. In all
of these roles, Ralph has made a significant contribution to the success of
the company. Ralph has played a huge part in shaping the business, as a
result of which Fletcher Building is now the largest building materials
manufacturer in Australasia'" Sir Ralph said.
