MERCER GROUP LIMITED - DIRECTOR APPOINTMENT AND DIRECTOR RESIGNATION
The Directors of Mercer Group Limited are pleased to announce that they have
appointed Mr Paul Smart to be a director of the Company. Mr Smart is a
Chartered Accountant and long standing member of the Institute of Directors
with extensive financial and director experience, and he will take over the
role as Chair of the Audit Committee. Mr Smart is currently Chairman of NZPM
Group and D'Arcy Polychrome, a Director and Chair of the Audit Committee of
Postie Plus Group, a Director of Pacific Channel and has other private
directorships and shareholdings.
Mr Smart replaces Mr Paul Hewitson who elected not to re-stand at the last
AGM but was retained on a month to month basis until an appropriate
replacement Director was found. Mr Hewitson has been a director since 29
February 2000. He departs with the Company's best wishes.
Pursuant to NZSX Listing Rule 3.3.1, the Directors have determined that Mr G
Diack, Mr SB Heal and Mr PR Smart are Independent Directors of the Company.
Mr HJD Rolleston, Mr R Rookes and Mr R Shepherd are not Independent Directors
by virtue of their Disqualifying Relationships.
