Notice pursuant to Listing Rule 10.8.1 (d) Change in Directors

The Company advises that Deeta Wildridge McGeoch (Colvin) has resigned as a
Director of Michael Hill International Limited. Deeta will be undertaking PR
work  over the next 12 months for the Company and will be involved in the
communications strategy for a new branding project. As there may be a
perceived conflict of interest with her position as a Director of the
Company, Deeta has decided to resign as a Director.
The Board thanks Deeta for her contribution as a Director over the past two
years.
After this resignation, the Directors of the Company are as follows:

The Board has determined pursuant to Listing rule 3.3.2 that Gary John Gwynne
