PACIFIC EDGE LIMITED
Peter Foster has advised the Board of Pacific Edge Limited ("the Company")
that due to other work commitments he will not be seeking re-election as a
director of the Company at this year's Annual Meeting and will therefore
retire by rotation with effect from the conclusion of that meeting. The
Chairman on behalf of the Board would like to extend their thanks to Peter
for his valued contribution and efforts in the period of his directorship of
the Company and wish him well in his future endeavours.
Peter is currently an independent director of the Company and a member of the
Audit Committee. Following his retirement the Company will, if David Band is
re-elected at the Annual Meeting, only have one independent director on both
the Board and the Audit Committee. No formal nominations for new directors
of the Company have been received by the Company in the period prior to the
Annual Meeting of the Company.
The Board is presently evaluating potentially suitable candidates for
appointment to the Board and is confident that it will be in a position to
appoint one or more suitable independent replacements within a reasonably
short time of the Annual Meeting.
In the interim, the Company will be seeking waivers from NZX of Listing Rules
3.3.1(c) and 3.6.2(c) with respect to the pending temporary position of
having only one independent director.
