MARKET ANNOUNCEMENT
PACIFIC EDGE LIMITED ("the Company")
The Board of the Company requested and obtained a waiver from NZX of Listing
Rules 3.3.1(c) and 3.6.2(c) in anticipation of having only one independent
director following Peter Foster's recent retirement from the Board at the
August Annual Meeting of the Company.
Subsequent to the Annual Meeting, the Board have determined that both Chris
Swann and Colin Dawson are independent directors in accordance with the
Listing Rules and that they did in fact satisfy the requirements of
independence prior to and at the time of the Annual Meeting. Both Mr Swann
and Mr Dawson are also members of the Audit Committee of the Company. On
that basis the Company does not require the waiver previously requested from
NZX as at all material times it continued to satisfy the requirements of the
above Listing Rules.
The Board continues to evaluate potentially suitable candidates for
appointment to the Board and is confident that it will be in a position to
appoint or recommend further members to the Board in due course.
