Mr Ward’s letter is actually very clear if one has any understanding of the Corps Act and Director duties. It raises serious governance and disclosure issues. The D49 process based on Ward’s comments is also highly unusual in that typically disgruntled shareholders invite a Director to step down before the time and expense of a S249 meeting etc.
