Retirement of director and appointment of new director

Michael Cooney has advised the Board of his retirement as a director of
Trustpower Limited effective 29 August 2014.
Mr Cooney has been a director of Trustpower Limited and various subsidiaries
for over 12 years.  The Board thanks Mr Cooney for his diligence and
contribution to the Group's growth strategies over this period.
In accordance with the Company's constitution the Board has approved the
appointment of Alan Bickers as a director to fill the casual vacancy.  Mr
Bickers is a qualified civil engineer and has a long history of governance
roles in private companies, Government boards and Crown entities as well as a
number of not for profit entities.  Mr Bicker's appointment is effective 1
September 2014.  The Board has made the appointment in consultation with the
Tauranga Energy Consumer Trust and therefore has determined that Mr Bickers
is not an independent director with respect to the NZX Listing Rules.
