If there was a competing offer and an announcement can be avoided by Pfizer matching or increasing their offer, then the phone around may be designed to determine a figure to ensure a yes vote so as not to go into a bidding war. If a no was to prevail and there was other interested party or parties then the board would be freed up to go into negotiations with the other party/parties and they would be able to have a good look under the hood which they presently may not be able to do with the way Pfizer has locked things up. In my opinion a no vote is more likely to draw out a superior offer . My opinion only not financial advice
