Sounds solid enough. Well structured deal, the vendors coming in as directors to manage the project, paid entirely in shares so have all the skin in the game.
not so phased by the ‘Africa’ risk here - many Australian companies operating in Tanzania now and it’s certainly increased its reputation. Of course it’s got some problems, but also seeing resolutions (e.g see IDA’s recent settlement). Director coming in a resident of Tanzania so no doubt has a good network there.
capital structure will start to tighten towards the insiders after another raise that will no doubt go to the Apollo guys, and shares to the new directors. Also have residual shares from the Taylor Collison guys who are still involved so probably remain. Will turnover the frustrated people within a few days I imagine.
cant make sense of the Australian component of the deal - seems these tenemants are a distraction? Maybe some kind of sweetener to someone.
