Please read the full scheme carefully. It is very clear. They are penalised almost $1million if they back out. They are also required in the agreement to say they fully support the deal. They have stated there are no higher offers, and have already proven to be deceptive, by adding a takeover clause to the constitution and stating they have no offers then 3 weeks later annoucing they have an offer.
they have no obligation to disclose there deal and employment terms after yum acquires dragontail and it will be private.
