That's what I am thinking is the most logical explanation....

    That's what I am thinking is the most logical explanation. However, if the management completes all the hurdles and are cumulatively eligible for the full 2.2m shares, the company will have to add more money to the trust. The only logical explanation is that the expectation is that 2.2m shares will not need to be bought - more like around 1m shares will need to be purchased. I still find it odd. Would have made more sense to set aside $8.5 x 2.2m dollars. It's not like management is going to do anything else with the money even though they are always 'considering capital allocation'
