Not necessarily. If EN1 had all the bargaining power (ie desperate AdCel) they would take what is given, hence the script at a significant premium. Meaning they are hoping to get what they can out of it.
With client's like Google, Amazon and Facebook im surprised they couldn't negotiate a better deal for themselves. Although i agree it is a path to greater exposure for the AdCel guys.
I'm just playing devil's advocate i don't think there's anything wrong with the deal
