conflict of interest would prevent Somboon from voting his shares, in any take over. if he is proposing the take over for his benefit.
ASM will need to average down, taking up the offer, average their entry price to 10 cents.
a take over at 10 cents, providing ASM opportunity to exit at entry price average, and Somboon opportunity to own more than 51%
