Both China New Energy Group Ltd. [Hong Kong - China] and DLE & C Co. Ltd. [South Korea] would seem to be Ineligible Shareholders as defined in the Prospectus and will be unable to participate.
If this is the case, I don't think Prospectus section 2.7 will come into play.
