The valuation you refer to is for the company as a whole once the acquisition is complete. This is not a RTO.
Would be interesting to know who the existing shareholders of DateTix are? Does seem to be a high valuation considering we do not know how many active users they have, let alone any revenue figures. As no cash is involved in the transaction I guess the valuation can be whatever the vendors want in shares?? Part of me wonders if this is more of play to get a foot in the door to Asia, it's money and perhaps certain people onto the board and register. DateTix bringing in three Directors sounds excessive to me at the moment, they wouldn't have much more than three employees at the moment surely, the FB page makes it look very early stages.
I'm certainly not bullish on this at the moment but I don't see the need to sell just yet either.
