This still doesn't make sense tho - although you are correct to point out that the shares issued will be varied to meet the $750m consideration.
But if the share price flops, and they just issue more shares, then the price will just flop further due to the dilution.
Very strange deal, and very strange announcement - almost seems like it was written and negotiated between complete amateurs.
But - if there is more going on here than meets the eye, which I suspect is the case. And what they are actually buying is a European equivalent of say an LTR type resource and operation, then this actually makes complete sense literally and economically.
What makes this so suspicious is only really the extremely low current market cap of this and several other ASX listed euro lithium minnows like INF and EMH.
Aside from that it is just a great merger deal of a globally in demand critical mineral, smack in the biggest global market for it.
