THE OFFER
Nearmap Ltd invites Eligible Shareholders to apply for up to $30,000 worth of new fully paid ordinary
shares in Nearmap (Shares) under a share purchase plan (SPP) at an Issue Price per Share which will be
the lower of:
• $2.77, being the price at which Shares were issued under the Placement being a 4.2% discount to
the closing price of $2.89 on 9 September 2020; and
• a 2.5% discount to the volume weighted average price (VWAP) of Nearmap Shares traded on the
ASX during the five trading days up to and including the Closing Date (Tuesday, 29 September
2020 to Monday, 5 October 2020).
