    the convertible note holders essentially "own" the company ..........

    why would any investor "pay" ....if there are outstanding notes ......

    solution is:

    convert to FPO all outstanding notes ......THEN do a cap raise .........

    sadly - major noteholders wont want to take a "haircut" ........
