I think your key issued is Rahul being a director of a company. I have voted no for his re-election. He needs a more clearly defined role, essentially we are his customer and his business should be doing everything it can to ensure we receive value for money. Whilst I have no visibility of his business is operation and this is all in my own opinion it may will be the a large amount of our funding has been used to tool up his shop and establish that business.
it may well be in the company's interest to look for another software developer but our current direction presumably won't allow a comparative analysis of the software development market to see if there is a more cost effective delivery partner.
I have also voted no for the issue of performance shares
