Material as a general rule of thumb means the affect is greater than 5%. IMO the affect will be of the nature that further dilutes shareholding. However imo in the context of funding for a 'near production' project this is not bad news for medium term holders. The alternative form of funding would have to be an arrangement for finance and /or partnership. Unless the share placement excludes ordinary shareholders this means the shareholders take the risk otherwise born by the financier or partner and therefore should reap the reward. Last year good money was made participating in placements.

I await the news to see the nature of the placement or rights issue.
