The key lesson for me in this whole episode is that if you are a minnow, avoid pre-emptive rights in your JOA.
PE completely ruins any sale process. Either a buyer has to pay over the odds to avoid PE (unlikely) and secondly why would anyone put a serious offer on the table if it is likely to get pre-empted, so you end up with cheeky low ball bid on the off chance that it won't get pre-empted.
Pity there wasn't a better alternative to sale.
