I'm not a lawyer by any means, but there are tax, liability and operating reasons for them creating a US based LLC. I would imagine it makes it easier to get building permits, licenses etc. too when they starting building over here.
We have 50 different states worth of business laws over here layered on top by federal commercial laws. When I incorporated my business years ago, I incorporated as a Nevada LLC (even though I live and operated in Pennsylvania) because they have full secrecy as to to the ownership of my business. I'm not sure about Delaware, but it would be interesting to see if FBR Americas LLC is a wholly owned subsidiary of FBR or if there are other owners that are listed.
