The capital raise also needs shareholder approval. A capital raise may get approved with some adjustments. Issuing Options may not be part of the deal. If the company is going to increase revenues Options aren't a good idea, more dilutive.
The contingency to adjust the price down may have been due to the possibility of the FDA Approval being delayed. It was expected in March.
