Consideration in staged payments:
* US$2,500,000 cash upon Completion;
* US$7,500,000 cash six months after Completion;
* US$10,000,000 cash twelve months after Completion
Completion (and receipt of the initial US$2.5m) is anticipated to occur in the near future and in any event before the end of August 2022.
The final US$10,000,000 cash won't be received before the MEIO expiry date therefore some risk there however the other US$10M is lots of cash for an acquisition.
