The Judgment shows that the board did not give much consideration to the shareholders in ignoring the legitimate directors and shareholders of GPR but chose to deal with known convicted fraudster and fake GPR director and shareholder, Michael Giovinazzo. They demonstrated a complete lack of judgment.
