I read the report, and frankly I don't believe a lot of what they say! My feeling is that the comments on corporate governance etc apply more towards current board members than previous board members because of their conflict of interest.
There's no doubt Genius will make an opportunistic cheap bid for MAY - they're just lining up all the negative news ahead of that Bid. No dividend is part of that plan to get financial metrics sorted out, such that Genius doesn't allow any other shareholder to share in the profits that they'll ultimately get upon takeover.
