The seller of what - shares in the holding company? It was a change of control. The holding company still holds. FAR can PE the working interest off the holding company, job done. The notion of a 2nd PE event is needlessly complex unless FAR only will take the holding company and dont care for purchasing the working interest which is very strange behaviour.....IMO
