BOD has the incentive of kicking the can down the road and staying in the game as long as possible, considering they are compensated via director's fee's. Whereas shareholders can only make money if the SP goes up. Therefore you can not compare both these groups in the way you attempted to.
Either you do not understand how BOD is incentivised and compensated, or you are simply up ramping a stock which is not performing, and defending a management team which has done nothing but erode your investment through failure to execute.
