Continuous disclosure, as @simong1 said - ASX listing rule 3.1:
"Once an entity is or becomes aware of any information concerning it that a reasonable person would expect to have a material effect on the price or value of the entity’s securities, the entity must immediately tell ASX that information."
They don't get to withhold that information unless it would breach a law, is a trade secret, or concerns an incomplete proposal or negotiation (among a few others not relevant here). Perhaps you might argue that tier 1 negotiations would make this part of an incomplete negotiation but ... given what's already been announced I can't see that's possible. It's always been stated this would be brought to market. Having everything in place to be able to bring it to market and not telling investors they have done so would IMO be a clear violation of the continuous disclosure rules.
