Look what NST have done with EAR (Echo Resources).
Start off with roughly 20%(NST) and then the directors get performance shares for double to triple the share price and then NST offer a price which makes the performance shares in the money....the directors are rolling in money and of course they advise shareholders to accept the offer.

Also look at AGS and CTL and ORS who had the same major shareholder and got control in different ways.
Major shareholders and directors win but ordinary shareholders miss out...it happens all the time in the small caps mining sector and ASIC will do nothing
