y. Under the terms of the Agreement, Dr. Perry will receive both
wage and non-wage payments in consideration of a general release of claims in favor of the Company.
The Agreement also contains a mutual non-disparagement agreement. The Company did not admit to
any allegations under the terms of the Agreement. The Agreement in its entirety will be filed as an
exhibit to the Company’s Annual Report on Form 10-K for its fiscal year ending December 31, 2023.
