I took your advice and reread the AGM documents. Conclusion: the whole thing is a dog's dinner IMO. The company is spending money buying its own shares while the spin off will have to raise capital.Share buybacks falsely lead to increase in EPS and narrow the capital base in a small company like Vita Life.
The spin off has a single property development. Macarthur National will be illiquid and there is a major risk that you'll see your investment be liquidated.
And then there's the company's main strategy of entering a tough and shrinking retail market in Australia.
They should be growing an online business with much higher margins ! Do a deal with Amazon and watch the SP fly! Setting up a store on ebay is not rocket science, and the cost of marketing is a fraction that of what will be required to generate retail sales.
All in all this company has lost its way- perhaps as a prelude to a privitisation. It has huge potential that is being squandered.
So I agree with your thesis that the company is undervalued,but for different reasons.It is ripe for plucking by someone who knows what they are doing.
