Acquisition of Alltype Engineering Pty LtdOn 28 January 2020, WestStar acquired 100% of the ordinary share capital and voting rights in Alltype Engineering Pty Ltd (“Alltype”).(i) Business Acquisition ConsiderationThe consideration for the acquisition comprised the issue to Alltype’s shareholders of:
• 237.1 million fully paid ordinary shares on completion.
• Up to 243.4M Deferred Consideration Shares to be issued on achievement of EBITDA targets for Alltype’s FY2020 performance.
As the EBITDA targets were not met, no Deferred Consideration Shares will be issued.
Just saved $4 Mil in scrip or 20% dilution
