that is true, which is why its important to note that there is large crossover between the URF and URFPA share registers. i.e many holders own both the URF and URFPA is fairly equal amounts. It is hard to believe that those investors would vote vote YES to any of the resolutions as it is sure to be destructive to the overall asset value of the company. i.e those investors will lose more on the URF than they gain on the URFPA.

If we assume all of the URF will vote against (which is 51%of the votes) and 50% of the URFPA will vote against (due to them holding URF as well) then it makes it hard to see where you get the votes from to pass the YES case....which is why I think Keybridge has left it to the last minute and is hoping to benefit from the short notice and holiday period is making sure that the NO votes dont get the turnover required...and the motivated YES votes slip through..

will be interesting to see if the court allows such a strategy.....
