Janus Henderson will acquire a 55% ownership interest in VPC at closing with a defined path for JHG to reach 100% ownership over time.
Existing VPC owners will retain 45% ownership interest at closing.
JHG will commit seed capital to launch new VPC strategies and vehicles and provide VPC access to JHG’s broader seed capital program and balance sheet to support growth.
Transaction is expected to close in Q4 2024, pending regulatory approvals. The acquisition consideration comprises a mix of cash and shares of Janus Henderson common stock.
