and as per b)iii) of the SPA, if we go ahead with part 1, spend a bunch of money, but then dont go further, we have to give back part 1!? bizarre.
looks like this is all or nothing and the vendor benefits thru a quick 200k if our due diligence fails or we cant get it done in ~3 months, and he gets it all back if we decide not to go thru with the full transaction.
vendor must be pretty happy with this deal!
