My understanding is that it would require shareholder approval, anyway.
In the potential case where management recommends this (or some adjusted) “offer”, I presume they will need to provide a lot more detail (i.e. “present their case” to shareholders) wrt the other company, the “deal” etc etc in an attempt to clarify the benefits and “sell” it to us.
That would (should) clarify, at least to some extent, what value the equity component actually has, etc.
Happy to be corrected, btw.
imo it appears to be a lowball attempt that is in the wrong ballpark, despite where the sp currently sits.
