Issuing new scrip is dilutive if used to buy higher priced assets than what shareholders currently hold or to acquire something that offers less present value eps, cash flow, etc. But if used to buy assets valued less than the scquirer's current nta per share, mathmatically the action cannot be dilutive when the transaction is complete.
Afj seems to be in the latter category.
