NOTIFICATION OF ALLOTMENT OF SECURITIES - OPTIONS
For the purposes of Listing Rule 7.12.1 of the NZSX/NZDX Listing Rules,
Diligent Board Member Services, Inc. (DIL) advises that the following
securities have been issued:

Issue price Nil on issue. The options have an exercise price
NZ$8.00 per ordinary share.

be issued would constitute 0.12% of the ordinary shares then on issue).
g Reason for issue Issue of unlisted options under the DIL 2013
Incentive Plan as part of the remuneration package of the General Counsel,
Mr. Thomas N Tartaro.
h Authority for issue Resolution of directors, dated 10 June 2013.
i Terms of issue One quarter of the options will become exercisable on
each anniversary of the issue date, subject to shareholder approval of the
2013 Incentive Plan at the 2013 AGM and Mr. Tartaro's continued employment.
The options have a term of 10 years from the issue date.
