GENERAL: FBI: Amendment of Trust Deed

AMENDMENT OF TRUST DEED

Auckland, 16 November 2015 -

Fletcher Building Industries has amended the trust deed dated 12
November 2002 governing the capital notes issued by it, with the consent
of Corporate Trust Limited (as supervisor).

The amendments are to comply with and reflect the Financial Markets
Conduct Act 2013 and the Financial Markets Conduct Regulations 2014.
Further amendments were made to allow greater flexibility to deal with
treasury stock and to facilitate the consolidation of one or more series of
capital notes that are materially the same.
