GENERAL: FIN: FIN - Disclosure notice
Finzsoft advises that its existing service contract with Pi Capital
Investments Limited (of which Mr Wills and Mr Holliday are directors and
shareholders) has been amended to reflect Messrs Wills' and Holliday's role
as Joint Managing Directors of Finzsoft. The fee payable by Finzsoft under
the service contract has also been amended to a maximum, subject to certain
key performance indicators being met, of $625,000 per annum.
The independent directors of Finzsoft have certified that they are satisfied
that the terms of the amendment to the service contract have been established
on an arm's length, commercial basis and the amendment to the service
contract is in the best interests of Finzsoft.
Finzsoft has relied upon the exception from the requirement to obtain
shareholder approval for entry into the amendment to the service contract as
set out in Rule 9.2.4(d) of the Listing Rules.
