acquire up to
a total of 110,000 Ordinary Shares in the Company on the Terms of Issue set
out below.
Issued Capital Subsequent To Issue (Total Issued Capital): 318,615,921 class
of Security Issued: Option to acquire Ordinary Shares.
Issue Price: Issue price of $0.72 per share payable in cash on the issue of
Ordinary Shares to the Option Holder pursuant to the exercise of their
Options.
Percentage Issued: N/A

Terms of Issue: One third of the Options will vest in the relevant Option
Holder each year for the first three years of continuous employment Pacific
Edge Diagnostics USA Limited, a wholly owned subsidiary of the Company
("PEDUSA"). If the Option Holder's employment with PEDUSA ceases then they
will receive a fractional entitlement based on the length of service during
the relevant year. Any shares issued on exercise of the Options will rank
pari passu with the existing ordinary shares in the Company. To exercise any
of the Options vested, the relevant Option Holder must pay cash consideration
of $0.72 per share payable in cash on the exercise of the Options.
Reason: Pursuant to section 49 of the Companies Act 1993 and Listing Rule
7.3.6.
