GENERAL: SDL: SDL - Unsolicited Approach to Acquire Mail Division

Solution Dynamics has received an unsolicited approach regarding the possible
acquisition of its Service Division.  Distinct from the software activities,
the Service division encompasses SDL's mail processing activities.
There is no certainty that this approach and any subsequent discussions will
lead to any agreement being reached between the parties or a transaction
occurring.
