Alterations to Spark New Zealand Constitution

The constitution of Spark New Zealand Limited has been updated to give effect
to minor legislative and other amendments, including amendments to give
effect to the Financial Markets Conduct Act 2013, to update the company name
to 'Spark New Zealand Limited' and to remove obsolete provisions relating to
demerger.

The altered form of constitution, approved by shareholders at today's Annual
Meeting, will be effective immediately.
