GENERAL: TRP: Transpower - Master Trust Deed amendment notice

Transpower New Zealand Limited (Transpower) has elected for the applicable
requirements of the Financial Markets Conduct Act 2013 (Act) to apply to it
with effect from 10 June 2015 in respect of the bonds issued pursuant to the
master trust deed dated 18 March 2011, as amended from time to time, between
Transpower and The New Zealand Guardian Trust Company Limited. Accordingly,
Transpower has amended the master trust deed to comply with and reflect the
Act and to make other tidy up amendments.
As required by the Act, bondholders will shortly receive a notice in the form
attached, providing further details.
