As a rule of thumb yes. Prior to the 50% BOD can pass poison pill provisions (but must still be in good faith. i.e. not out of spite by burning the company to the ground). Truth be told it can be challenged even at 90% and beyond via the ASIC route of granting relief from the provisions in appropriate circumstances. But this is really just buying time...
