I hear what your saying, but personally I don't think we are in a position to decide if this is fair or not until all the details are brought forward. Issuing a convertible note at half the issue price is a concern, although it's only a quarter of the total insto funds. My bigger concern is what we are handing over, what previous exploration/results are from these tenements has been done and that the initial book is sub-100k shares. Our sub 30% stake is going to be heavily eroded over time unless there is a firm/binding commitment from our company to maintain it.
